Merchant Agreement

This Merchant Agreement ("Agreement") governs the relationship between REB Global LLC ("Company") and any business entity ("Merchant") that accepts REBG tokens as payment for goods or services through our integrated platforms.
1. Merchant Eligibility
To become an approved Merchant, you must: be a legally registered business entity; complete our merchant verification process including KYC/AML due diligence; maintain valid business licenses required by your jurisdiction; agree to and comply with all terms of this Agreement.
2. REBG Token Acceptance
Approved Merchants may accept REBG tokens as payment through our integrated platform systems. All transactions are processed on the Base blockchain. The Company provides the technical infrastructure for token acceptance, including wallet integration and transaction processing.
3. Transaction Fees and Settlement
- A 1.5% transaction fee applies to all REBG token payments received by Merchants
- Settlement occurs in near real-time on the Base blockchain
- Merchants may opt for automatic conversion to supported stablecoins or fiat currencies (where available)
- Conversion rates are determined at the time of transaction processing
4. Merchant Obligations
Merchants agree to: display REBG acceptance signage and branding in accordance with our brand guidelines; provide accurate product/service descriptions and pricing; honor all REBG token transactions that have been confirmed on the blockchain; maintain adequate customer support for REBG-paying customers; comply with all applicable consumer protection laws.
5. Prohibited Merchant Activities
Merchants may not: accept REBG tokens for illegal goods or services; engage in price discrimination against REBG-paying customers; use REBG token transactions for money laundering or terrorist financing; share customer data obtained through REBG transactions with unauthorized third parties.
6. Chargebacks and Disputes
Due to the nature of blockchain transactions, chargebacks are not natively supported. Merchants must establish their own refund policies in compliance with applicable consumer protection laws. Disputes between Merchants and customers will be facilitated by the Company but are ultimately the responsibility of the Merchant.
7. Intellectual Property and Branding
The Company grants Merchants a limited, non-exclusive license to use REBG branding materials for the purpose of indicating REBG token acceptance. This license is revocable and subject to our brand usage guidelines.
8. Termination
Either party may terminate this Agreement with 30 days written notice. The Company may immediately terminate for: violation of this Agreement; suspected fraudulent activity; failure to comply with AML/KYC requirements; material misrepresentation.
9. Liability and Indemnification
Merchants agree to indemnify REB Global LLC against any claims arising from: the Merchant's products or services; violations of consumer protection laws; unauthorized use of customer data; any breach of this Agreement.
