Token Purchase Agreement

This Token Purchase Agreement ("Agreement") sets forth the terms and conditions governing the purchase, acquisition, and use of REBG tokens issued by REB Global LLC ("Company") on the Base blockchain (Ethereum Layer 2).

1. Token Description

  • Token Name: REBG (REB Global)
  • Blockchain: Base (Ethereum Layer 2)
  • Total Supply: 100,000,000 REBG
  • Token Type: Utility Token
  • Transaction Fee: 1.5%

REBG is a utility token designed to facilitate payments across integrated platforms. It is NOT a security, investment contract, financial instrument, or digital currency designed to serve as a medium of exchange for general commerce.

2. Purchase Eligibility

To purchase REBG tokens, you must: be at least 18 years old; complete applicable KYC/AML verification; not be a resident of a jurisdiction where token purchases are prohibited; not be on any government sanctions or restricted persons list; have a compatible wallet on the Base blockchain.

3. Purchase Process

REBG tokens may be acquired through: approved cryptocurrency exchanges listing REBG; direct purchase through our platform (where available); peer-to-peer transfers on the Base blockchain. All purchases are final and non-refundable unless otherwise required by applicable law.

4. Risk Disclosures

IMPORTANT: Read carefully before purchasing REBG tokens.

  • Volatility Risk: Token value may fluctuate significantly. Past performance does not guarantee future results.
  • Technology Risk: Smart contract vulnerabilities, blockchain failures, or network congestion may affect token functionality.
  • Regulatory Risk: Changes in laws or regulations may restrict or prohibit the use of REBG tokens in certain jurisdictions.
  • Liquidity Risk: There may be limited markets for trading REBG tokens, and you may not be able to sell your tokens at a desired price.
  • Loss Risk: You may lose some or all of the value of your REBG tokens.
  • Irreversibility: Blockchain transactions cannot be reversed. Tokens sent to incorrect addresses may be permanently lost.
  • Wallet Security: Loss of private keys results in permanent loss of access to your tokens.

Nothing in this Agreement or on REBG.World constitutes investment, financial, tax, or legal advice. The purchase of REBG tokens involves substantial risk. You should consult with qualified professionals before making any purchase decisions.

6. Token Allocation

The 100,000,000 REBG token supply is allocated as follows: Platform Rewards (40%), Company Treasury (25%), Team/Founders (15%), Liquidity Pool (10%), Advisors (5%), Marketing (5%). The Company reserves the right to adjust allocations within reasonable bounds to ensure platform sustainability.

7. No Guarantee of Value

REB Global LLC makes no representations or warranties regarding the value of REBG tokens, any expected profit or loss, or the development of any secondary market for REBG tokens. The Company does not guarantee that REBG tokens will maintain any value.

8. Representations and Warranties

By purchasing REBG tokens, you represent that: you have read and understood this Agreement and all risk disclosures; you are purchasing REBG tokens for utility purposes, not as an investment; you accept all risks associated with the purchase; you have sufficient understanding of blockchain technology and cryptocurrency.

9. Governing Law

This Agreement is governed by the laws of the State of Wyoming, United States.
